Nothing contained in these Terms or on the Site should be construed as a solicitation or promotion for any service or product that is not authorized by the laws, restrictions and regulations of the country where you reside or access the Site. The UN Convention on Contracts for the International Sale of Goods shall not apply to your use of the Site.
Indemnification
You agree to indemnify, defend and hold harmless NSG-USALATAM, its officers, directors, employees, agents and third parties, for any claims, damages, losses, costs, liabilities and expenses (including attorney’s fees and legal costs) relating to or arising out of your use of or inability to use the Site or NSG-USALATAM’s services, any user postings made by you, your violation of any of the Terms, or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. NSG-USALATAM reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with NSG-USALATAM in asserting any available defenses and pursuing settlement.
Arbitration
In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise for monetary damages (but excluding injunctions, equitable remedies and other relief that is not a claim for monetary damages, which relief may only be awarded by a court of competent jurisdiction), then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator in the English language and administered by the American Arbitration Association, or a similar arbitration service mutually acceptable to the parties, in the State of Arkansas. The arbitrator’s award shall be final, and judgment may be entered upon it in any court having jurisdiction. The parties agree to arbitrate all disputes and claims for monetary damages in regards to these Terms and Conditions or any disputes for monetary damages arising as a result of these Terms and Conditions, whether directly or indirectly, including tort claims for monetary damages that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions.
Class Action Waiver
Any arbitration or other legal proceedings under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE OTHER. Further, unless both you and NSG-USALATAM agree otherwise, the arbitrator or judge may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.

Termination/Access Restriction

These terms and your use of the Site are governed by the substantive laws of the State of Arkansas without regard to conflicts of laws principles, and the Federal Arbitration Act where applicable, and you hereby consent to the exclusive jurisdiction and venue of courts in Arkansas in all judicial disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and NSG-USALATAM as a result of these Terms or use of the Site. NSG-USALATAM’s performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms is in derogation of NSG-USALATAM’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by NSG-USALATAM with respect to such use. If any part of these Terms are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the Terms shall continue in effect.

You may not assign, transfer or sublicense any or all of your rights or obligations under these Terms without NSG-USALATAM’s express written consent. NSG-USALATAM may assign, transfer or sublicense any or all of its rights or obligations under these Terms without restriction.

Esta disposición de arbitraje sobrevivirá a la terminación de estos Términos y Condiciones.
Renuncia a Acciones Colectivas
Cualquier arbitraje u otro procedimiento legal bajo estos Términos y Condiciones se llevará a cabo de forma individual; los arbitrajes colectivos y las acciones colectivas/representativas/conjuntas no están permitidas. LAS PARTES ACUERDAN QUE UNA PARTE PUEDE PRESENTAR RECLAMOS CONTRA LA OTRA SOLO EN SU CAPACIDAD INDIVIDUAL, Y NO COMO DEMANDANTE O MIEMBRO DE UNA CLASE EN CUALQUIER SUPUESTO PROCEDIMIENTO COLECTIVO, CONJUNTO Y/O REPRESENTATIVO, TAL COMO EN LA FORMA DE UNA ACCIÓN DE PROCURADOR GENERAL PRIVADO (PRIVATE ATTORNEY GENERAL ACTION) CONTRA LA OTRA. Además, a menos que tanto usted como NSG-USALATAM acuerden lo contrario, el árbitro o juez no podrá consolidar los reclamos de más de una persona, y no podrá presidir de otra manera ninguna forma de procedimiento representativo o colectivo.
Exclusión de Responsabilidad
LA INFORMACIÓN, VIDEOS, SOFTWARE, PRODUCTOS Y SERVICIOS INCLUIDOS O DISPONIBLES A TRAVÉS DEL SITIO PUEDEN INCLUIR INEXACTITUDES O ERRORES TIPOGRÁFICOS. PERIÓDICAMENTE SE AÑADEN CAMBIOS A LA INFORMACIÓN AQUÍ CONTENIDA. NSG-USALATAM Y/O SUS PROVEEDORES PUEDEN REALIZAR MEJORAS Y/O CAMBIOS EN EL SITIO EN CUALQUIER MOMENTO.
NSG-USALATAM Y/O SUS PROVEEDORES NO REALIZAN DECLARACIONES, EXPRESAS O IMPLÍCITAS, SOBRE LA IDONEIDAD, CONFIABILIDAD, DISPONIBILIDAD, OPORTUNIDAD Y EXACTITUD DE LA INFORMACIÓN, VIDEOS, SOFTWARE, PRODUCTOS, SERVICIOS Y GRÁFICOS RELACIONADOS CONTENIDOS EN EL SITIO PARA CUALQUIER PROPÓSITO. EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, TODA DICHA INFORMACIÓN, VIDEOS, SOFTWARE, PRODUCTOS, SERVICIOS Y GRÁFICOS RELACIONADOS SE PROPORCIONAN "TAL CUAL" (AS IS), SIN GARANTÍA NI DECLARACIÓN DE NINGÚN TIPO, YA SEA EXPRESA, IMPLÍCITA, LEGAL O DE OTRO TIPO. NSG-USALATAM Y/O SUS PROVEEDORES POR LA PRESENTE DESLINDAN TODA GARANTÍA Y DECLARACIÓN, YA SEA EXPRESA, IMPLÍCITA, LEGAL O DE OTRO TIPO, CON RESPECTO A ESTA INFORMACIÓN, VIDEOS, SOFTWARE, PRODUCTOS, SERVICIOS Y GRÁFICOS RELACIONADOS, INCLUYENDO TODAS LAS GARANTÍAS O CONDICIONES IMPLÍCITAS DE COMERCIABILIDAD, IDONEIDAD PARA UN PROPÓSITO PARTICULAR, TÍTULO Y NO INFRACCIÓN.
EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY APLICABLE, EN NINGÚN CASO NSG-USALATAM Y/O SUS PROVEEDORES SERÁN RESPONSABLES POR DAÑOS DIRECTOS, INDIRECTOS, PUNITIVOS, INCIDENTALES, ESPECIALES O CONSECUENTES, NI NSG-USALATAM Y/O SUS PROVEEDORES SERÁN RESPONSABLES POR NINGÚN DAÑO DERIVADO DE LA PÉRDIDA DE USO, DATOS, REGISTROS O GANANCIAS, PARO LABORAL, FALLA O MAL FUNCIONAMIENTO DE LA COMPUTADORA, INTERRUPCIÓN DEL REPARTO DE RED O SISTEMA, ROBO, DESTRUCCIÓN, ACCESO NO AUTORIZADO O CUALQUIER OTRA PÉRDIDA TANGIBLE O INTANGIBLE QUE SURJA O ESTÉ DE ALGUNA MANERA CONECTADA CON EL USO O RENDIMIENTO DEL SITIO, CON EL RETRASO O LA INCAPACIDAD DE UTILIZAR EL SITIO O LOS SERVICIOS RELACIONADOS, LA PRESTACIÓN O FALTA DE PRESTACIÓN DE LOS SERVICIOS, O POR CUALQUIER INFORMACIÓN, VIDEOS, SOFTWARE, PRODUCTOS, SERVICIOS Y GRÁFICOS RELACIONADOS OBTENIDOS A TRAVÉS DEL SITIO, O QUE SURJAN DE OTRO MODO DEL USO DEL SITIO, YA SEA BASADO EN CONTRATO, RESPONSABILIDAD EXTRACONTRACTUAL, NEGLIGENCIA, RESPONSABILIDAD OBJETIVA O DE OTRO TIPO, INCLUSO SI NSG-USALATAM O CUALQUIERA DE ESTOS PROVEEDORES HA SIDO ADVERTIDO DE LA POSIBILIDAD DE DAÑOS. DEBIDO A QUE ALGUNOS ESTADOS/JURISDICCIONES NO PERMITEN LA EXCLUSIÓN O LIMITACIÓN DE RESPONSABILIDAD POR DAÑOS CONSECUENTES O INCIDENTALES, ES POSIBLE QUE LA LIMITACIÓN ANTERIOR NO SE APLIQUE A USTED. SI NO ESTÁ SATISFECHO CON ALGUNA PARTE DEL SITIO, O CON CUALQUIERA DE ESTOS TÉRMINOS DE USO, SU ÚNICO Y EXCLUSIVO RECURSO ES DEJAR DE UTILIZAR EL SITIO. SUJETO A LO ANTERIOR, EN LA MEDIDA MÁXIMA PERMITIDA POR LA LEY APLICABLE, NSG-USALATAM NO SERÁ RESPONSABLE DE NINGÚN DAÑO QUE SUPERE LOS HONORARIOS O TARIFAS PAGADOS POR USTED EN RELACIÓN CON EL USO DEL SITIO DURANTE EL PERÍODO DE SEIS (6) MESES ANTERIORES A LA FECHA EN QUE SURGIÓ EL RECLAMO.
USTED ACEPTA QUE, INDEPENDIENTEMENTE DE CUALQUIER ESTATUTO O LEY EN CONTRARIO, CUALQUIER RECLAMO O CAUSA DE ACCIÓN QUE SURJA O ESTÉ RELACIONADA CON EL USO DEL SITIO, O QUE SURJA DE OTRO MODO BAJO ESTOS TÉRMINOS, DEBE PRESENTARSE DENTRO DEL PLAZO DE UN (1) AÑO DESPUÉS DE QUE SURGIÓ DICHO RECLAMO O CAUSA DE ACCIÓN, Y DE LO CONTRARIO QUEDARÁ PRESCRITO Y EXTINGUIDO.
Terminación / Restricción de Acceso
NSG-USALATAM se reserva el derecho, a su sola discreción, de rescindir su acceso al Sitio y a los servicios relacionados o a cualquier parte de los mismos en cualquier momento, sin previo aviso. Estos términos y el uso que usted haga del Sitio se rigen por las leyes sustantivas del Estado de Arkansas, sin dar efecto a los principios de conflictos de leyes, y por la Ley Federal de Arbitraje cuando corresponda, y por la presente usted acepta la jurisdicción y competencia exclusiva de los tribunales de Arkansas en todas las disputas judiciales que surjan del uso del Sitio o estén relacionadas con él. El uso del Sitio no está autorizado en ninguna jurisdicción que no dé efecto a todas las disposiciones de estos Términos, incluyendo, sin limitación, esta sección.
Usted acepta que no existe ninguna relación de empresa conjunta (joint venture), sociedad, empleo o agencia entre usted y NSG-USALATAM como resultado de estos Términos o del uso del Sitio. El cumplimiento de estos Términos por parte de NSG-USALATAM está sujeto a las leyes y procesos legales existentes, y nada de lo contenido en estos Términos menoscaba el derecho de NSG-USALATAM a cumplir con las solicitudes o requisitos gubernamentales, judiciales y policiales relacionados con el uso que usted haga del Sitio o la información proporcionada o recopilada por NSG-USALATAM con respecto a dicho uso. Si se determina que alguna parte de estos Términos es inválida o inaplicable de conformidad con la ley aplicable, incluyendo, pero no limitado a, las exenciones de garantía y las limitaciones de responsabilidad establecidas anteriormente, entonces la disposición inválida o inaplicable se considerará sustituida por una disposición válida y aplicable que coincida más estrechamente con la intención de la disposición original y el resto de los Términos continuará en vigor.
A menos que se especifique lo contrario en el presente documento, estos Términos constituyen el acuerdo completo entre el usuario y NSG-USALATAM con respecto al Sitio y sustituyen a todas las comunicaciones y propuestas anteriores o contemporáneas, ya sean electrónicas, orales o escritas, entre el usuario y NSG-USALATAM con respecto al Sitio. En caso de que surja cualquier acción legal o de equidad, procedimiento o arbitraje derivado de estos Términos o en relación con ellos, la parte ganadora tendrá derecho a recuperar sus costos y honorarios razonables de abogados. Usted no puede ceder, transferir ni sublicenciar ninguno o todos sus derechos u obligaciones bajo estos Términos sin el consentimiento expreso por escrito de NSG-USALATAM. NSG-USALATAM puede ceder, transferir o sublicenciar cualquiera o todos sus derechos u obligaciones bajo estos Términos sin restricción alguna.
Cambios en los Términos
NSG-USALATAM se reserva el derecho, a su sola discreción, de cambiar los Términos bajo los cuales se ofrece NSG-USALATAM.com. La versión más reciente de los Términos sustituirá a todas las versiones anteriores. NSG-USALATAM le recomienda revisar periódicamente los Términos para mantenerse informado de nuestras actualizaciones.
